Job Requirements

We are seeking a high-energy, self-motivated individual to join our team as an experienced associate or of counsel, focused on venture capital and other private strategic financing transactions, at our growing office in Oakland. This individual will have extensive front-line interaction with venture-backed and publicly-traded clients who typically have drug product candidates in clinical development and/or drug products on the market. They will actively counsel clients about transactional structures and considerations around key financial, governance, leverage, and liability terms, and will handle the drafting and negotiation of these transactions. This experience will include also organization and formation of start-up companies, research foundation grant financing, royalty financing, and supporting the firm’s M&A practice. This individual will join a dedicated team with highly specialized and deep industry experience and a critical role in servicing our clients.

Education

JD degree required, and admission to practice (or eligible to seek admission to practice) in California.

Experience and Substantive Background:

A minimum of 7-8 years of relevant experience in private law practice and/or venture capital or private equity firm law department is required. Strong understanding of venture capital and other private strategic financing practices and biotechnology business development practices is required. In-house experience negotiating agreements for venture capital or private equity firms active in the life sciences is preferred. Familiarity with individual principals at leading venture capital and private equity firms active in the life sciences is expected, with the reasonably likelihood of originating 500+ hours of work from clients who will follow the candidate to our firm.

Technical Skills

Excellent legal drafting ability is critical and must be accompanied by strong word processing skills. Facility with common technology tools is expected, including Microsoft Office, PDF document usage, document comparison software, document management systems, and teleconference and videoconference tools.

The successful candidate will have extensive client contact experience and must possess the highest caliber of professionalism and client management skills. They must be effective in helping clients identify strategic goals, prioritize key issues, and find (and document) pragmatic solutions to these issues for a wide range of transactions. Sophisticated communication skills and the comfort and confidence to interact directly with finance and senior management at biotech and pharmaceutical companies and managing partners at venture capital and private equity firms are crucial. The ability to prioritize and manage multiple tight deadlines in a frequently high-paced environment is necessary to achieve the productivity demanded by our service model.
