Life Sciences Transactional Lawyers (Boston or New York)

Job Requirements

We are seeking 2-3 high-energy, self-motivated individuals to join our team as junior to mid-level associates, focused on life sciences transactions.  We prefer individuals who are junior to be located near our Boston or New York offices, but can support hybrid remote work models and are more willing to apply those models for more senior candidates who will require less training.

In these positions, these individuals will have extensive front-line interaction with venture-backed and publicly-traded clients who typically have drug product candidates in clinical development and/or drug products on the market. They will actively counsel clients about transactional structures and intellectual property considerations, and will handle the drafting and negotiation of a wide range of transactions supporting R&D activities. These include both academic collaborations (in-licenses, sponsored research, research collaborations, clinical development collaborations, and consortiums) and industry collaborations (selective program/product/field/territory licensing, evaluation and option arrangements, R&D collaborations, manufacturing and process/formulation collaborations, and promotion and distribution agreements). These individuals will join a dedicated team with highly specialized and deep industry experience and a critical role in servicing our clients.

Education

JD degree required, and admission to practice (or eligible to seek admission to practice) in Massachusetts or New York (and, if applicable for hybrid remote work models, in the state of residence).

Experience and Substantive Background

For junior associates, candidates should have a minimum of 1-2 years of transaction experience in private law practice and/or company law department (in either case with strong training/supervision) to have developed strong foundational transactional lawyering skills.

For mid-level associates, candidates should have a minimum of 4-5 years of relevant experience handling academic and/or industry collaboration agreements for life sciences clients, and strong understanding of intellectual property licensing practices and biotechnology business development practices is required. In-house experience negotiating agreements for life sciences organizations is preferred.

Technical Skills

Excellent legal drafting ability is critical and must be accompanied by strong word processing skills. Facility with common technology tools is expected, including Microsoft Office, PDF document usage, document comparison software, document management systems, and teleconference and videoconference tools.

Other Key Capabilities

For mid-level associates, candidates should have extensive client contact experience and possess the highest caliber of professionalism and client management skills. They must be effective in helping clients identify strategic goals, prioritize key issues, and find (and document) pragmatic solutions to these issues for a wide range of transactions. Sophisticated communication skills and the comfort and confidence to interact directly with clinical, R&D and senior management at biotech and pharmaceutical companies, CROs, and academic institutions and research hospitals are crucial. The ability to prioritize and manage multiple tight deadlines in a frequently high-paced environment is necessary to achieve the productivity demanded by our service model.
